NZTP GreenTech – Terms & Conditions

1. About NZTP Green Tech

NZTP GreenTech is a UK-based environmental technology company providing AI-powered carbon measurement, audit-level verification tools, and digital reporting systems designed to support compliance under the UK ETS, GHG Protocol, and global Net-Zero standards.

2. Definitions

• “Platform” refers to NZTP’s AI Vision System, IVL Protocol, dashboards, APIs, and related digital tools.

• “Client” means any business, organisation, investor, or user accessing NZTP services.

• “Data” means any emissions data, measurements, images, or reports generated or uploaded via NZTP systems.

• “Agreement” refers to these Terms & Conditions.

3. Use of Services

3.1 Clients must use NZTP services only for lawful purposes and in compliance with UK environmental regulations.
3.2 You are responsible for ensuring the accuracy of data you upload into the Platform.
3.3 NZTP may suspend access if misuse, fraud, or data manipulation is detected.

4. Intellectual Property

4.1 All technology, algorithms, models, designs, documentation, and the IVL Protocol are the exclusive intellectual property of NZTP GreenTech Ltd.
4.2 Clients receive a non-exclusive licence to use NZTP services for authorised purposes only.
4.3 No part of the Platform may be copied, reverse-engineered, distributed, or resold without written permission.

5. Data Ownership & Processing

5.1 Clients own their raw operational data.
5.2 NZTP owns all processed outputs generated by its AI and verification systems.
5.3 By using the Platform, you grant NZTP permission to analyse anonymised data to improve system accuracy and compliance features.
5.4 NZTP complies with the UK Data Protection Act 2018 and GDPR.

6. Accuracy of Carbon Measurements

6.1 NZTP provides AI-assisted emissions calculations based on trained models, on-site data, and regulatory standards.
6.2 While NZTP aims for Tier-1 audit-ready accuracy, final compliance responsibility remains with the Client.
6.3 NZTP is not liable for incorrect or incomplete data submitted by the Client.

7. Payment & Subscription

7.1 Fees for NZTP services (SaaS plans, installation, hardware, or consulting) must be paid according to agreed invoices.
7.2 Late payments may result in suspended access.
7.3 All fees are non-refundable unless stated otherwise in writing.

8. Confidentiality

8.1 Both parties agree to maintain confidentiality of all business, technical, and emissions data.
8.2 NZTP will never sell customer data to third parties.

9. Limitation of Liability

9.1 NZTP is not liable for:

• regulatory penalties caused by false data provided by the Client,

• operational downtime,

• indirect or consequential losses.
  9.2 NZTP’s total liability is limited to the amount paid by the Client in the previous 12 months.

10. Compliance & Regulatory Use

10.1 NZTP provides tools aligned with UK ETS, GHG Protocol, and Net-Zero frameworks.
10.2 Clients remain responsible for final submission of regulatory reports.
10.3 NZTP does not guarantee regulatory approval.

11. Termination

11.1 Either party may terminate the Agreement with 30 days’ notice.
11.2 NZTP may terminate immediately for breach, fraud, or misuse.
11.3 Upon termination, access to the Platform will be revoked.

12. Governing Law

These Terms are governed by the laws of England and Wales.
Any disputes shall be handled in the courts of London, UK.
